Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you and Show Up. By creating an account, accessing, or using the Show Up mobile application, website, or any related services (together, the "Service"), you agree to be bound by these Terms. If you do not agree, do not create an account or use the Service.
These Terms incorporate by reference our Privacy Policy, Community Guidelines, and any other policies we post on the Service. Please read all of them carefully.
1. Eligibility & account
1.1 Age requirement
You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding contract. We do not knowingly collect information from anyone under 18. If we learn that someone under 18 has created an account, we will terminate it immediately.
1.2 One account per person
You may maintain only one account. Accounts are personal to you - you may not share your account with anyone else, transfer your account, or create an account on behalf of another person. You are responsible for all activity that occurs under your account.
1.3 Accurate information
You agree to provide accurate, current, and complete information when creating your account and to update it as needed. You may not impersonate another person, use a name you are not authorised to use, or misrepresent your identity, age, or any other personal detail.
1.4 Criminal history
You represent that you have not been convicted of a violent crime, a sexual offence, or any offence involving harm to minors, and that you are not required to register as a sex offender in any jurisdiction. We reserve the right to conduct background checks or verify your identity at any time, though we are under no obligation to do so.
1.5 Account security
You are responsible for keeping your login credentials and device secure. You must notify us immediately at [email protected] if you suspect unauthorised access to your account. We are not liable for losses caused by unauthorised use of your account.
1.6 Previously banned users
If we have previously terminated your account for a breach of these Terms or our Community Guidelines, you may not create a new account without our express written permission.
2. What Show Up does
Show Up is a social introduction and meetup-coordination platform. The Service helps you connect with people nearby and arrange real-world meetups at spots in your city. Features include:
- Algorithm-based one-to-one matching - we suggest people based on your vibe tags, interests, availability, and location.
- Friend invites - you can invite contacts from your phone's address book who are already on Show Up.
- Group meetups - you can propose a meetup to multiple friends at once.
- Casual Meetups - time-window group meetups at a location for people nearby.
- Instant Meetups - spontaneous, time-limited activity requests visible to nearby users.
- Discovery & Show-Near - a visibility toggle that lets nearby users discover your profile and send you an invite.
- Spot Collections - curated lists of places you can build, share, and browse.
- Voice notes - encrypted short audio messages in chat.
- Real-time chat - text communication with your matches.
- Calendar integration - optionally add confirmed meetups to your device calendar.
We are an introduction and coordination service only. We are not a party to any meeting, meetup, or relationship between users. We do not vet, employ, supervise, or contract with any user. We do not guarantee that any match, invite, or meetup will result in a meeting, or that any meeting will be safe, satisfactory, or successful.
3. No payments, just reliability
3.1 Free to use
Show Up is completely free. There are no subscription fees, no in-app purchases, no stakes, no deposits, and no wallet. We do not handle any money on behalf of users and we are not a payment processor of any kind.
3.2 Reliability system
Instead of financial incentives, commitment is encouraged through a reliability system:
- Passing on a match before you accept it is free, though we may limit how many times you can pass within a given period.
- Cancelling a locked-in meetup - one where a time and place have been confirmed - earns a strike on your account.
- Not showing up after you have committed to a meetup also earns a strike.
- Accumulating strikes may pause your ability to receive new matches for a period, after which strikes reset.
- Mutual cancellation - where both users agree to cancel - does not result in a strike for either person.
- Safety exception - reporting or blocking a user you are matched with cancels the match immediately without any strike. You are never penalised for protecting your safety. Abusing the report tool to dodge the reliability system is itself a violation of our Community Guidelines and can result in account termination. See Section 6.2.
We may adjust these reliability rules at any time to maintain the health and integrity of the community. We will notify you of material changes.
4. Your conduct
You agree to use the Service responsibly and treat others with respect - both on the platform and during any in-person meeting that results from it. The following conduct is prohibited:
4.1 Harassment & harm
- Harassing, threatening, intimidating, or bullying any user.
- Stalking or repeatedly contacting someone who has blocked you or asked you to stop.
- Using the Service to organise, promote, or engage in violence, hate crimes, or any illegal activity.
- Discriminating against or attacking someone based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Sending unsolicited sexually explicit messages, images, or voice notes.
4.2 Honesty & authenticity
- Impersonating another person or creating a fake profile.
- Using photos that are not of you, or that are materially altered to misrepresent your appearance.
- Providing false information about your age, identity, location, or intentions.
- Creating accounts for the purpose of deceiving or defrauding other users ("catfishing").
4.3 Commercial & inappropriate use
- Soliciting money, gifts, or donations from other users.
- Advertising, promoting, or selling any product, service, or business - including multi-level marketing, cryptocurrency, or investment schemes.
- Recruiting for employment, modelling, or any commercial purpose.
- Using the Service for escort services, sex work, or "sugar" arrangements.
- Promoting or linking to external commercial websites, referral codes, or affiliate links in your profile or messages.
4.4 Platform integrity
- Using any automated means - bots, scripts, scrapers, or crawlers - to access or interact with the Service.
- Reverse-engineering, decompiling, or attempting to extract the source code of the Service.
- Uploading malware, viruses, or malicious code.
- Interfering with the Service's operation, such as by overloading servers, conducting denial-of-service attacks, or exploiting bugs.
- Using unauthorised third-party applications, modified clients, or AI/ML systems to interact with the Service.
- Testing, probing, or scanning the Service for vulnerabilities without our prior written authorisation.
- Attempting to circumvent any security, rate-limiting, or access-control measures.
4.5 Misuse of features
- Using Instant Meetups, Casual Meetups, or Discovery to spam, stalk, or harass.
- Abusing the voice-note feature to send unwanted, threatening, or inappropriate audio.
- Submitting false, malicious, or manifestly unfounded reports against other users.
- Creating new accounts to evade blocks, bans, or user-level blocking.
4.6 Privacy of others
- Sharing another person's private information - such as phone number, home address, email, workplace, or financial details - without their consent.
- Recording, screenshotting, or redistributing chat messages, voice notes, or profile information outside the Service without the other person's consent.
- Using information obtained through the Service to harass or harm anyone outside the platform.
5. Prohibited content
You may not post, upload, share, or transmit any content on the Service that falls into any of the following categories:
- Nudity, pornography, or sexually explicit material.
- Content that depicts, promotes, or glorifies violence, self-harm, or suicide.
- Content that is obscene, hateful, or discriminatory.
- Content depicting minors, whether or not accompanied by an adult, unless the minor is your own child and the context is clearly familial.
- Content that infringes any copyright, trademark, or other intellectual property right.
- Content that is defamatory, libellous, or knowingly false.
- Images or video of another person posted without their consent.
- Content containing malware, spyware, phishing links, or other harmful code.
- Spam, chain messages, or bulk unsolicited communications.
- Content that promotes illegal activity, including drug use or sales.
We may remove any content that we determine, in our sole discretion, violates these Terms or our Community Guidelines, or that we believe may harm the Service or its users.
6. Safety & your own responsibility
Show Up introduces you to people we do not vet, employ, supervise, or contract with. We do not conduct background checks, criminal history checks, or identity verification on any user (though we reserve the right to do so at any time). You interact with and meet other users entirely at your own risk.
6.1 Your safety practices
When meeting someone through the Service, you should:
- Always meet in a public place with other people around.
- Tell a friend or family member where you are going and who you are meeting.
- Keep your phone charged and with you.
- Trust your instincts - if something feels wrong, leave.
- Arrange your own transport to and from the meeting.
- Do not leave your drink unattended or accept drinks you did not see prepared.
6.2 Reporting & emergencies
If another user behaves inappropriately, you can report them through the in-app tools. Reporting a user you are currently matched with automatically blocks them, cancels the match, and removes all connection between you - without any strike or penalty to your account. Safety reports never count against your reliability record. You are never punished for protecting yourself. You can also block any user at any time; blocking a match cancels it without a strike. In an emergency, contact local law enforcement immediately. We will cooperate with law enforcement to the extent required by applicable law.
6.3 No liability for user conduct
We are not responsible for the conduct of any user, whether online or in person. We make no representations, warranties, or guarantees about the character, background, intentions, or safety of any user. We are not liable for any harm, injury, loss, or damage that results from your interactions - online or offline - with other users.
6.4 Disputes between users
You are solely responsible for your interactions with other users. We may, at our discretion, assist in resolving disputes, but we have no obligation to do so. We are not responsible for resolving disputes between users.
7. Your content & licence to us
7.1 Ownership
You retain ownership of the content you submit to the Service - including your profile information, photos, messages, voice notes, spot collections, tips, and any other material ("Your Content"). You are solely responsible for Your Content and you represent that you have all necessary rights to submit it.
7.2 Licence to Show Up
By submitting Your Content, you grant Show Up a worldwide, royalty-free, sublicensable, and transferable licence to host, store, use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content in connection with operating, improving, and promoting the Service. This licence continues until Your Content is deleted from the Service, except that:
- Content shared with other users (such as messages, voice notes, or shared collections) may remain visible to those users even after you delete your account.
- We may retain backup copies for a reasonable period for legitimate business purposes, including compliance with legal obligations.
7.3 Public collections
If you make a spot collection public, other users may view, browse, and import it into their own library. By making a collection public, you grant other users a licence to view and import that collection through the Service. You may make a public collection private at any time, but users who imported it while it was public will retain their copy.
7.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, we may use them without compensation or obligation to you.
8. Our content & licence to you
8.1 Ownership of the Service
We own or license all rights, title, and interest in the Service, including its software, design, graphics, trademarks, logos, user interface, algorithms, and all other content not submitted by users ("Our Content"). Show Up, the Show Up logo, "Meet someone, go somewhere, and actually show up", and related marks are our trademarks.
8.2 Limited licence
Subject to your compliance with these Terms, we grant you a personal, worldwide, royalty-free, non-assignable, non-exclusive, revocable, and non-sublicensable licence to access and use the Service as intended. This licence is automatically revoked if you breach these Terms.
8.3 Restrictions
You may not copy, modify, distribute, sell, lease, or create derivative works based on Our Content. You may not use our trademarks or branding without our prior written permission. You may not frame, mirror, or scrape the Service.
9. Reporting & enforcement
9.1 Reporting
You can report inappropriate behaviour or content through the in-app reporting tools or by emailing [email protected]. We review reports using a combination of automated tools and human moderators.
9.2 Enforcement actions
If we determine that you have violated these Terms or our Community Guidelines, we may take any of the following actions, in our sole discretion:
- Issue a warning.
- Remove specific content.
- Temporarily suspend your account or certain features (such as matching, Discovery, or voice notes).
- Permanently terminate your account.
- Prevent you from creating new accounts.
We may take enforcement action with or without notice, particularly where immediate action is needed to protect the safety of other users.
9.3 Appeals
If you believe an enforcement action was taken in error, you may appeal by emailing [email protected] with your account details and the reasons for your appeal. We will review your appeal in good faith but are not obligated to reverse our decision.
9.4 Abuse of reporting
Submitting repeated, false, or manifestly unfounded reports against other users is itself a violation of these Terms and may result in enforcement action against your account.
10. Privacy
Our Privacy Policy explains how we collect, use, store, and share your personal data. It is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
We use phone-number hashing to find your contacts on the Service - your actual contact data never leaves your device in plain form. We use location data to power matching, Discovery, Casual Meetups, and nearby features. You control location permissions through your device settings and the in-app Discovery toggle.
11. Third-party services
11.1 Maps & location
The Service integrates with Google Maps and Apple Maps to display locations, provide directions, and power location-based features. Your use of these mapping services is subject to the applicable third-party terms - Google's Terms of Service or Apple's terms, as applicable. We are not responsible for the accuracy of map data, directions, or business information provided by these third parties.
11.2 External links
The Service may contain links to third-party websites or services. We do not endorse or control those third parties and are not responsible for their content, privacy practices, or terms. You access third-party services at your own risk.
11.3 App stores
If you download the Service through Apple's App Store or Google Play, your use is also subject to the applicable terms of that platform. We are not responsible for the actions or policies of any app store.
12. Suspension & termination
12.1 Termination by you
You may stop using the Service and delete your account at any time through the in-app settings. Deleting your account will remove your profile from the Service and prevent other users from finding you. Messages you have already sent to other users may remain visible to them. We will handle your personal data in accordance with our Privacy Policy.
12.2 Suspension or termination by us
We may suspend or terminate your account at any time, with or without notice, if:
- You breach these Terms or our Community Guidelines.
- Your conduct - on or off the platform - creates a risk of harm to other users, our staff, or the public.
- You have been convicted of a crime that we believe makes your continued presence on the Service a safety concern.
- We are required to do so by law or a regulatory authority.
- We decide, in our discretion, to discontinue the Service or a feature you are using.
12.3 Effect of termination
Upon termination, your right to access the Service ends immediately. Provisions of these Terms that by their nature should survive termination - including but not limited to Sections 6 (Safety), 7 (Your Content), 8 (Our Content), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), 16 (Dispute Resolution), and 17 (Governing Law) - will continue to apply.
13. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, either express or implied.
To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the Service will be uninterrupted, error-free, secure, or available at any particular time or location.
- Any warranty that defects or errors will be corrected.
- Any warranty about the accuracy, reliability, or completeness of any content - whether from us or from other users.
- Any warranty regarding the conduct, safety, or compatibility of other users.
We make no guarantees about the number or quality of matches, the availability of spots or meetups, or the outcome of any interaction facilitated through the Service.
14. Limitation of liability
14.1 No liability for indirect damages
To the fullest extent permitted by applicable law, Show Up, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages - including lost profits, loss of data, loss of goodwill, emotional distress, personal injury, or property damage - arising out of or in connection with:
- Your use of or inability to use the Service.
- The conduct of any other user, whether online or in person.
- Any content posted by other users.
- Unauthorised access to or alteration of your content or data.
- Any meeting, meetup, or interaction arranged through the Service.
These limitations apply regardless of the theory of liability - whether based on contract, tort (including negligence), strict liability, or otherwise - and even if we have been advised of the possibility of such damages.
14.2 Cap on liability
To the extent that liability cannot be excluded under applicable law, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the equivalent of one hundred United States dollars (USD $100) in local currency, or (b) any amounts you have paid to us in the twelve months preceding the claim. Since Show Up is currently free, this cap reflects our status as a no-fee service.
14.3 No liability for third parties
We are not liable for the acts, omissions, or content of any third party - including other users, mapping providers, or app stores.
14.4 Local law exceptions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our gross negligence, or for any other liability that cannot be limited or excluded under applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Show Up and its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service.
- Your Content.
- Your breach of these Terms or any applicable law.
- Your conduct toward any other user, whether online or in person.
- Your violation of any third-party right, including intellectual property or privacy rights.
We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defence. You may not settle any claim without our prior written consent.
16. Dispute resolution
16.1 Informal resolution
Before filing any formal legal claim, you agree to try to resolve the dispute informally by contacting us at [email protected] with a detailed description of the issue and the relief you are seeking. We will attempt to resolve the dispute in good faith within sixty (60) days. This informal process is a mandatory precondition to any legal action.
16.2 No class actions
To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only - not as a class, collective, consolidated, or representative action. You waive any right to participate in a class action or to have your dispute heard by a jury.
16.3 Time limit for claims
Any claim arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues. After that period, the claim is permanently barred.
17. Governing law & jurisdiction
17.1 Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
17.2 Jurisdiction
Subject to Section 16 (Dispute Resolution), any legal action arising out of or relating to these Terms shall be brought exclusively in the courts of the Federal Capital Territory, Abuja, Nigeria. You consent to the personal jurisdiction of those courts.
17.3 International users
The Service is operated from Nigeria. If you access the Service from outside Nigeria, you do so at your own initiative and are responsible for compliance with local laws, to the extent local laws apply. Where mandatory local consumer protection law grants you rights that cannot be waived by these Terms, those rights remain unaffected.
18. Changes to these terms
18.1 Updates
We may update these Terms from time to time to reflect changes in our practices, the Service, or applicable law. When we make changes, we will update the "Last updated" date at the top of this page.
18.2 Notice of material changes
If we make material changes, we will provide additional notice - such as an in-app notification, an email, or a prominent notice within the Service - before the changes take effect.
18.3 Acceptance of changes
If you continue to use the Service after the updated Terms become effective, you are agreeing to the changes. If you do not agree to the updated Terms, you must stop using the Service and delete your account. Changes do not apply retroactively.
19. General provisions
19.1 Entire agreement
These Terms, together with our Privacy Policy, Community Guidelines, and any other policies we post on the Service, constitute the entire agreement between you and Show Up regarding the Service and supersede all prior agreements and understandings.
19.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19.3 No waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.
19.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction - including in connection with a merger, acquisition, reorganisation, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
19.5 Force majeure
We are not liable for any delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemic, labour disputes, infrastructure failures, internet outages, telecommunications failures, or governmental action.
19.6 Relationship of parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Show Up. We are an independent service provider.
19.7 Notices
We may send you notices through the Service, by email to the address associated with your account, or through other reasonable means. Notices to Show Up should be sent by email to [email protected].
19.8 Language
These Terms are written in English. Any translation is provided for convenience only. In the event of a conflict, the English version controls.
